Terms of Service

These terms govern access to trierx.com and establish the general conditions for enquiries and use of the TrierX CRM. A signed Order Form, Master Services Agreement or other written agreement may apply additional terms to a customer subscription.

How these terms work

The website helps organizations understand TrierX, compare plans and contact our team. Access to the CRM is provided only after onboarding and is subject to the commercial and service terms confirmed in writing.

1. Acceptance and eligibility

These Terms of Service ("Terms") are a legal agreement between you and TrierX Technologies ("TrierX", "we", "our" or "us"). By accessing this website, submitting an enquiry or using a TrierX service, you agree to these Terms. If you act for an organization, you confirm that you are authorized to bind that organization. If you do not agree, do not use the website or services.

You must be legally capable of entering into a binding agreement and must use TrierX only for lawful business purposes.

2. Website and service scope

The website presents information about TrierX CRM, available plans, features and contact options. Website content is informational and does not itself create a subscription, guarantee availability of a feature or provide access to a customer account.

Paid access, implementation, custom work, support levels, data migration, integrations, source-code rights and other deliverables are confirmed in an applicable quotation, Order Form, statement of work or Master Services Agreement (collectively, a "Service Agreement"). If a Service Agreement conflicts with these Terms, the Service Agreement controls for that customer and subject matter.

3. Enquiries, demos and communications

When you submit a form or contact TrierX, you agree to provide accurate, current and business-relevant information and authorize us to respond using the details supplied. A demo, proposal or commercial discussion is not a commitment to purchase or provide services until both parties accept the applicable commercial terms.

4. Accounts and authorized users

Customers are responsible for identifying authorized users, maintaining accurate account information and protecting login credentials. Accounts may not be shared outside the permitted user scope. You must notify TrierX promptly of suspected unauthorized access and are responsible for activity performed through your accounts to the extent permitted by law and the applicable Service Agreement.

5. Pricing, taxes and payment

Website prices are starting or promotional rates and may vary by billing cycle, user count, implementation scope and selected modules. Unless stated otherwise, prices are exclusive of GST and other applicable taxes. Communication-provider usage, third-party services, optional add-ons, custom setup, migration, development and maintenance may carry separate charges.

Final pricing, billing frequency, minimum commitments, due dates, renewal terms and included features are specified in the applicable quotation or Service Agreement. Annual maintenance for custom work may apply according to the agreed scope. Customer payment obligations are not cancelled merely because an authorized user does not use the service.

6. Trials and evaluations

If TrierX offers a trial, proof of concept or evaluation, it is provided for the stated period and purpose, may contain limited functionality, and may be modified or ended at our discretion unless otherwise agreed in writing. Trial availability is not guaranteed. Data entered during a trial should not be treated as the only copy of important business information.

7. Customer data and privacy

As between TrierX and the customer, the customer retains its rights in data submitted to the service ("Customer Data"). The customer authorizes TrierX to host, process, transmit and back up Customer Data only as required to provide, secure and support the service and meet legal obligations.

The customer is responsible for having a lawful basis and providing required notices for Customer Data it collects or uploads, including data about leads, customers, staff and communications. Our handling of personal data is further described in the Privacy Policy and any applicable data-processing terms.

8. Third-party services and integrations

TrierX may connect with services provided by third parties, including communication, messaging, email, advertising, payment, cloud or accounting providers. Third-party services are governed by their own terms, pricing, availability and privacy practices. Unless expressly stated in a Service Agreement, TrierX does not control and is not responsible for changes, outages, data handling or acts of a third-party provider. Customers are responsible for maintaining any required third-party account and authorization.

9. Acceptable use

You must not, and must not permit anyone to:

  • Use TrierX for unlawful, fraudulent, deceptive, abusive or infringing activity.
  • Upload malicious code or attempt to bypass authentication, permissions, security controls or usage limits.
  • Interfere with service availability, probe for vulnerabilities without written authorization, or access another customer's data.
  • Send spam or communications without required consent, or use integrations in violation of provider policies or applicable law.
  • Copy, resell, sublicense, reverse engineer or create derivative works from TrierX except where expressly permitted by law or written agreement.
  • Use automated scraping or extraction that materially burdens the website or service.

We may investigate suspected misuse and restrict access where reasonably necessary to protect customers, TrierX or third parties.

10. Intellectual property and licence

TrierX and its licensors retain all rights in the website, CRM, software, documentation, designs, trademarks, configurations, improvements and related intellectual property, excluding Customer Data. Subject to payment and the applicable Service Agreement, TrierX grants the customer a limited, non-exclusive, non-transferable and revocable right for its authorized users to access the service during the subscription term.

No source-code access, ownership transfer, white-label right or custom-development ownership is granted unless it is expressly stated in a signed agreement. Feedback may be used to improve TrierX without identifying the person who supplied it.

11. Confidentiality

Each party may receive non-public business, technical or commercial information from the other. The receiving party must use reasonable care to protect that information, use it only for the agreed purpose, and disclose it only to people who need it and are subject to appropriate obligations. This does not cover information that is public through no breach, independently developed, lawfully received from another source, or required to be disclosed by law.

12. Service availability, support and changes

We work to provide a reliable service, but availability may be affected by maintenance, security events, internet conditions and third-party systems. Specific uptime commitments, response times, backup arrangements and support scope apply only where included in a Service Agreement. We may improve, modify or replace features while seeking to avoid material disruption to paid customers.

13. AI-assisted and generated outputs

Features that assist with itineraries, quotations, summaries or other generated content are tools for business users and may produce incomplete or inaccurate results. Users must review outputs, prices, availability, legal terms and customer-facing information before relying on or distributing them. TrierX does not guarantee that generated output is error-free or suitable for a specific transaction.

14. Warranties and disclaimers

We will provide paid services with reasonable skill and care as described in the applicable Service Agreement. Except for express written commitments and to the fullest extent permitted by law, the website and service are provided “as available.” TrierX disclaims implied warranties of merchantability, fitness for a particular purpose, uninterrupted availability and non-infringement. Nothing in these Terms excludes statutory rights or obligations that cannot lawfully be excluded.

15. Limitation of liability

To the fullest extent permitted by law, neither party will be liable for indirect, incidental, special, punitive or consequential loss, or loss of profit, revenue, goodwill or anticipated savings, arising from the website or service. Any aggregate liability connected with a paid service will be subject to the limitation stated in the applicable Service Agreement.

Nothing in these Terms limits liability for fraud, wilful misconduct, infringement or misuse of the other party's intellectual property, breach of confidentiality, payment obligations, or any liability that cannot legally be limited.

16. Suspension and termination

TrierX may suspend access where reasonably necessary to address a security risk, unlawful use, material breach, non-payment or harm to the service or other users. Subscription termination, notice periods, data export and post-termination obligations are governed by the applicable Service Agreement. Provisions that by nature should continue—including payment, confidentiality, intellectual property, disclaimers and liability—survive termination.

17. Changes to these Terms

We may update these Terms to reflect changes in our services, business practices or legal requirements. The current version will be published here with a revised “Last updated” date. Material changes affecting an active paid subscription will be handled in accordance with the applicable Service Agreement and law.

18. Governing law and disputes

These Terms are governed by the laws of India, without regard to conflict-of-law principles. The parties should first attempt in good faith to resolve a dispute through written discussion. The forum and dispute process stated in a signed Service Agreement will control; otherwise, disputes are subject to the courts of competent jurisdiction in India.
